The terms that govern your access to and use of the Careerbase website and the online services we make available through it.

1. About these terms

These Website Terms & Conditions (Terms) govern your access to and use of the website at careerbase.co and any related pages, content and online services we make available through it (together, the Website). The Website is owned and operated by Careerbase Pty Ltd (ABN 96 640 401 565) (we, us or our).

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.

These Terms apply to your use of the Website itself. Your use of our software platform as a logged-in user is governed by our End User Licence Agreement, and any purchase of products or services through the Website is also subject to clause 8 (Purchases) below. Where you are a customer who has entered into a separate written agreement with us, that agreement will take precedence over these Terms to the extent of any inconsistency.

2. Changes to these terms and the Website

2.1 We may amend these Terms at any time by posting the updated version on the Website. The updated Terms take effect from the date they are posted. By continuing to access or use the Website after that date, you agree to the amended Terms.

2.2 We may change, suspend or discontinue any part of the Website at any time without notice, and we will not be liable to you or any third party for doing so.

3. Using the Website

When using the Website, you must not (and must not permit any other person to):

  • use the Website in any way that breaches any applicable laws or regulations, or that infringes the rights of any person, including Intellectual Property Rights and privacy rights;
  • use the Website to transmit, publish or communicate material that is defamatory, offensive, abusive, indecent, menacing, misleading or deceptive;
  • introduce viruses, malware or other malicious code, or otherwise interfere with, damage or disrupt the Website or any servers or networks connected to it;
  • attempt to gain unauthorised access to the Website, any user accounts, or any systems or networks connected to the Website;
  • use any automated means (including scraping, crawling or harvesting) to access, monitor or copy content from the Website without our prior written consent; or
  • use the Website in any way that could damage, disable or impair the Website or interfere with any other party's use of it.

4. Accounts and registration

4.1 Some features of the Website, including making purchases, may require you to create an account. You must provide accurate and complete information when registering and keep that information up to date.

4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly if you become aware of any unauthorised use of your account.

4.3 We may suspend or terminate your account at any time if we reasonably believe you have breached these Terms.

5. Intellectual property

5.1 All content on the Website, including text, graphics, logos, images, layout, design and software (Website Content), and all Intellectual Property Rights in the Website Content, are owned by or licensed to us. The Careerbase name, logo and brandmark are our trade marks.

5.2 You may view, download and print Website Content for your own personal or internal business use only. Except as permitted above or by law, you must not, without our prior written consent, copy, reproduce, distribute, publish, modify, create derivative works from, or commercially exploit any Website Content.

5.3 Nothing on the Website should be construed as granting any licence or right to use any of our Intellectual Property without our prior written consent.

6. Third party links and content

6.1 The Website may contain links to third party websites, content or services that are not owned or controlled by us. We provide these links for convenience only and do not endorse, and are not responsible for, the content, products or services of any third party.

6.2 Your use of any third party website, content or service is at your own risk and is subject to the terms and conditions of the relevant third party.

7. Information on the Website

7.1 The information on the Website is provided for general information purposes only. While we take reasonable care to ensure information is accurate and current, we do not warrant that it is complete, accurate, reliable or up to date, and it may change without notice.

7.2 Nothing on the Website constitutes professional, financial, legal or career advice. You should obtain your own advice before acting on any information on the Website.

8. Purchases

Where you purchase products or services through the Website, the following applies:

  • all prices are shown in Australian dollars and, unless stated otherwise, are inclusive of GST;
  • we may vary prices at any time, but price changes will not affect orders we have already accepted;
  • your order is an offer to purchase, and a contract is formed only when we confirm acceptance of your order;
  • we may decline or cancel an order at any time before acceptance, including where the product or service is unavailable or where there has been a pricing or description error;
  • payment must be made at the time of purchase using one of the payment methods made available on the Website, and payments are processed by our third party payment providers; and
  • we are not responsible for any act or omission of a third party payment provider, subject to your rights under the Australian Consumer Law.

9. Cancellations, refunds and consumer rights

9.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded or limited.

9.2 Where we are permitted to limit our liability under the Australian Consumer Law, our liability is limited, at our option, to the resupply of the relevant goods or services or the payment of the cost of having them resupplied.

9.3 Outside of your rights under the Australian Consumer Law, refunds and cancellations are handled in accordance with the cancellation and refund information made available at the point of purchase. If you believe a product or service is faulty or not as described, please contact us using the details below.

10. Disclaimers and liability

This clause applies subject to clause 9 and your rights under the Australian Consumer Law.

10.1 The Website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not warrant that the Website will be secure, uninterrupted, error-free or free of viruses or other harmful components, or that it will meet your requirements.

10.2 To the maximum extent permitted by law, we will not be liable for any Consequential Loss, and our total aggregate liability arising from or in connection with these Terms or your use of the Website is limited, at our option, to resupplying the relevant part of the Website or, if resupply is not reasonably practicable, an amount not exceeding AUD $100.

10.3 You are responsible for your own use of the Website, including any decisions you make based on information available through it.

11. Privacy

We handle personal information in accordance with our Privacy Policy, available at careerbase.co/privacy. By using the Website, you acknowledge that you have read our Privacy Policy.

12. Suspension and termination

We may suspend or terminate your access to the Website at any time, without notice, if we reasonably believe you have breached these Terms or where required by law. Clauses which by their nature should survive termination (including clauses 5, 9, 10 and 13) will survive.

13. General

Governing law. These Terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of New South Wales and the courts entitled to hear appeals from them.

Entire agreement. These Terms, together with any document expressly referred to in them, contain the entire understanding between you and us in respect of their subject matter and supersede all prior representations and agreements.

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force.

Waiver. A failure or delay by us in exercising any right under these Terms does not operate as a waiver of that right.

14. Definitions

In these Terms, unless the context otherwise requires:

Australian Consumer Law means the Australian consumer law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), as amended from time to time.

Consequential Loss includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Intellectual Property Rights means all industrial and intellectual property rights anywhere in the world, whether registrable or not, including copyright, trade marks, designs, patents, domain names, know-how, trade secrets and confidential information.

Website has the meaning given in clause 1.

Website Content has the meaning given in clause 5.1.
